Terms of Service

Product: Daiko Negotiator. Provider: the operator of daiko-agent.com. By installing or using the software you agree to these terms; if you do not, request a refund under section 8 and stop using it.

1. What the software is

Daiko Negotiator is a Google Apps Script that runs inside your Google account. It reads email you receive, drafts and sends replies within limits you configure, and asks for your approval before concluding or declining an agreement.

It is a drafting and workflow tool. It is not a lawyer, an agent, a broker, or a party to any contract, and it gives no legal, financial or tax advice. Rate ranges, statutes and customs it reports are research output, may be wrong or out of date, and must be verified by you.

2. Licence

On payment you receive a perpetual, non-exclusive, non-transferable licence to use the software for your own freelance business, on any number of your own Google accounts. There is no expiry and nothing to renew.

You may read and modify the code for your own use. You may not resell, sublicense, redistribute or publish the software or a derivative of it.

3. Your responsibilities

You must not use the software to deceive, to send unsolicited bulk email, to impersonate anyone, or for any unlawful purpose.

4. Human approval

A final agreement or a decline is only sent after you reply APPROVE (or DECLINE), by email or in the sheet. Intermediate messages — questions, counter-offers, follow-ups, outreach pitches — are sent autonomously within the limits you configured. By approving your premise you authorise those autonomous messages.

5. AI limitations

Large language models make mistakes. They can misread an offer, miss a condition, mistranslate a term, or state a rate or a law that is wrong. The pre-send check reduces this risk but does not eliminate it. Do not use the software for negotiations where an error would be catastrophic and unrecoverable.

6. Third-party services

The software depends on Google Workspace and on Google Gemini, which it reaches with a key you create yourself. Their availability, pricing, free-tier limits and terms are outside our control and may change. Interruptions caused by them are not a defect in the software.

7. Limitation of liability

To the maximum extent permitted by law: the software is provided "as is", without warranty of any kind, express or implied, including fitness for a particular purpose. We are not liable for any loss arising from a decision made or a message sent by the software — including lost work, an underpriced or overpriced contract, an accepted or missed offer, a damaged client relationship, breach of contract, or any consequential or indirect loss. Our total aggregate liability for any claim is limited to the amount you actually paid us in the twelve months before the claim.

Some jurisdictions do not allow certain exclusions; there, our liability is limited to the minimum permitted by law.

8. Refunds

Full refund within 30 days of purchase if you are unable to install the software. Email support@daiko-agent.com from your purchase address describing where it failed. Refunds are not given because you disagree with a negotiation outcome you approved.

9. Changes and termination

We may update the software and these terms. Material changes are announced by email to buyers. Your licence is perpetual and we cannot revoke it, but we may decline to provide support for use that violates section 3.

10. Governing law

These terms are governed by the laws of Japan, without regard to conflict-of-law rules. Nothing here removes any non-waivable statutory right you have as a consumer in your own country.
